    Purpose

    POWERLOGICS shares "ethic and morality" as its management philosophy and respects the order of free competition market that pursues transparent competition and aims to achieve the management philosophy through corporate activities, observing all laws and regulations as well as the spirit of the law.

    Subjects of application

    All employees of POWERLOGICS must observe these standards regardless of positions. Cooperative firms in these standards includes all companies that have business relations with POWERLOGICS and these standards shall apply to all cooperative firms.

    Chapter 1 Responsibilities and obligations for customers

    POWERLOGICS shall respect all customers' opinions at all times in accordance with its conviction that customers are the genuine foundation of business and shall secure their firm trust by creating and providing helpful and useful values continuously.

    1. Respect for customers

    • POWERLOGICS shall listen to customers' opinions at all times and shall take their genuine demands as a righteous thing and shall take customers as the top priority in making every decision and performing every action.

    2. Creation of value for customers

    • (1) POWERLOGICS shall always try to seek for values needed by customers under the recognition that customers' development is the company's development.
    • (2) POWERLOGICS shall continue to create genuine values that can be of actual help to and can satisfy customers.

    3. Provision of values to customers

    • (1) POWERLOGICS shall tell customers truth and must keep the promises made between the company and customers under any circumstances.
    • (2) POWERLOGICS shall provide customers with the best quality products and services and shall respond to their righteous demands in a prompt and accurate manner.

    4. Protection of customers' profits

    • (1) POWERLOGICS shall open any information that must be known by or needs to be given to customers justly in an active manner.
    • (2) If acquiring information related to customers, POWERLOGICS shall neither leak such information without their prior consent nor use such for other purposes.
    • (3) POWERLOGICS shall make effort for the safety of customers in performing every management and business activity.
    • (4) POWERLOGICS shall not attempt to harm customers' interests by committing any other immoral deeds.

    Chapter 2 Fair competition

    POWERLOGICS shall observe all related laws in the relevant region while performing all kinds of business activity throughout the world and shall hold a dominant position in competition through a righteous means.

    1. Pursuance of free competition

    • (1) POWERLOGICS shall respect the order of market economy in any part of the world in accordance with the principles of free competition and shall secure customers' trust through the quality of products and services.
    • (2) POWERLOGICS shall practise good-willed competition and shall pursue competitive activities based upon mutual respect between the company and competitors and shall neither infringe upon competitors' interests nor use their weakness unfairly.

    2. Observance of law

    • (1) POWERLOGICS shall observe every law in the region where the company carries on business activities in and outside of Korea and shall respect their transaction custom while performing business activities.
    • (2) Any employees of POWERLOGICS residing overseas must be aware of and observe all laws, regulations, and custom in the relevant region.

    3. Rightful information-acquiring activities

    • (1) POWERLOGICS shall acquire and use information in a rightful manner in accordance with laws and transaction custom.
    • (2) POWERLOGICS shall not leak or reveal any information of competitors to the outside even though such information is acquired in a rightful manner.
    • (3) POWERLOGICS shall neither slander competitors through advertisements or other such means nor compare them groundlessly.

    Chapter 3 Equal and fair transaction

    Every transaction shall be made in accordance with the principles of free competition while an equal opportunity to participate is guaranteed and coexistent and joint development shall be promoted from a long-term point of view by building mutual trust and constructing collaborative relations through fair and transparent transactions.

    1. Equal opportunity

    • (1) POWERLOGICS shall give every qualified cooperative firm an equal opportunity to participate in the registration and selection of customers.
    • (2) Registration and selection of customers shall be performed in a rational manner according to a fair screening criterion.

    2. Fair business

    • (1) Every business shall be carried out fairly on a mutually equal footing and business conditions and procedures shall go through a sufficient discussion.
    • (2) Any kinds of wrongful act abusing supreme status is not allowed.
    • (3) Costs of every meeting, excluding POWERLOGICS's official events, shall be borne by employees.
    • (4) All employees must not give or take gifts, money, or valuables regardless of the value or the amount of such under any pretexts, including national holiday, anniversary, or business trip.
    • (5) Any cooperative firms (all employees of such firms) that offer the employees of POWERLOGICS a gift, a treat, or profits may suffer a disadvantage.
    • (6) Any information required for business transaction shall be given and taken through appropriate procedures in a timely manner and a result of business transaction shall be evaluated and supplemented mutually and regularly in accordance with a fair standard.

    3. Pursuance of joint development

    • (1) POWERLOGICS shall support cooperative firms aggressively for their long-term development with competitive power and shall share created profits with them through innovation.
    • (2) POWERLOGICS shall make effort together with cooperative firms to create a clean, transparent business climate and to maintain the fair business order.
    • (3) POWERLOGICS shall support cooperative firms that make effort to improve the level of business ethics in various ways, such as education and provision of information.

    4. Respect for employees of cooperative firms

    • (1) POWERLOGICS shall keep being as much considerate and respectful as possible towards the employees of all cooperative firms inside the place of business, regarding them as a member of family.
    • (2) POWERLOGICS shall listen to the employees of cooperative firms and shall try to solve difficulties that they experience while working inside the place of business.

    Chapter 4 Basic ethics of employees

    All employees of POWERLOGICS shall establish righteous values as a member of POWERLOGICS based upon the honest and sincere principles and shall fulfill their duties through continuous self-development and the fair pursuit of duties.

    1. Basic ethics

    • (1) All employees of POWERLOGICS shall be proud as part of POWERLOGICS and shall adhere to an honest and sincere attitude at all times.
    • (2) All employees of POWERLOGICS shall maintain preserve their dignity and the honor as a member of POWERLOGICS based upon high ethical values.
    • (3) All employees of POWERLOGICS shall neither use the company's articles or funds for a private reason nor use or acquire the company's materials or products arbitrarily but shall keep their private and public life strictly separate.

    2. Fulfillment of duties

    • (1) All employees of POWERLOGICS shall share the company's vision and management philosophy and shall empathize with goals and values pursued by the company and shall sincerely fulfill their individual duties given in accordance with the company's policy on work.
    • (2) All employees shall do their utmost to fulfill given duties in a righteous manner and shall observe every related law and regulation.
    • (3) All employees shall be aware of duties and responsibilities given to them clearly and shall make a decision and act within the competence given in order to correspond to the goals pursued by the company..
    • (4) All employees shall predict and take care of every possible risk triggered by their own decision-making and action and shall take responsibility for problems that can be resulted by such risk.
    • (5) All employees shall maintain and manage the company's assets properly and shall protect the company's confidential information acquired while fulfilling duties.
    • (6) All employees shall try to improve the efficiency of their work through active cooperation and smooth communication between colleagues and related divisions.

    3. Self-development

    • All employees of POWERLOGICS shall establish the concept of a desirable ideal talent in the era of internationalization and liberalization themselves and shall make continuous effort to correspond to the concept of such ideal talent through constant self-development.

    4. Fair fulfillment of duties

    • (1) All employees of POWERLOGICS shall fulfill every duty in an honest and fair manner and shall try to create a sound corporate culture at all times.
    • (2) All employees shall not receive any kinds of financial benefits that can harm the fairness of decision related to their duties from an interested party.
    • (3) All employees shall not attempt any immoral or unethical deeds that can be criticized by society with regard to their private life or duties.
    • (4) Superiors cannot give any work orders that are against laws or the company's regulations to their subordinates and any employees that have received a work order that is against laws or the company's regulations from their superior can refuse to fulfill such work.
    • (5) Any employees that have found out about a result of any corporate or individual behaviors caused by an illegal or unethical deed shall notify CEO of such through the hotline immediately and CEO shall examine such without delay and shall perform a fact-confirming investigation. Any threats or acts of retaliation occurring by reason of the report of such are not allowed.

    5. Prohibition of the provision of request-based gifts between employees

    All employees POWERLOGICS are prohibited from giving or receiving any kinds of gift for the purpose of making a request between them.

    • (1) An act committed by employees of offering their superior a gift for the purpose of making a request On condition that gifts that can strengthen the fellowship, such as a birthday present or the exchange of gifts to commemorate their first day at work, are excluded.

    6. Prohibition of financial dealings between employees

    Financial dealings between employees are prohibited since it can lead to a huge loss, such as weakened organizational power or a personal bankruptcy.

    • (1) Any money-borrowing acts between employees are prohibited.
    • (2) Any financial acts, such as guarantee for bank loans or solidarity guarantee, between employees are prohibited.

    7. Observance of information and security ethics

    • (1) All employees of POWERLOGICS shall observe the Unfair Competition Prevention and Trade Secret Protection Act.
    • (2) Any personal information of customers must not be opened to any third parties without their prior consent under any circumstances.
    • (3) Any internal information, including the company's confidential affairs and information of new projects, must not be opened to any third parties without superiors' prior consent under any circumstances.
    • (4) All employees shall neither decrease the efficiency of the information system of the company nor disrupt their duties at work both directly and indirectly due to the use of private emails, internet, and such while at work.
    • (5) The company may restrict access to websites that contain sexual images or data or any other websites that have been regarded as irrelevant to duties for containing information of stock, entertainment, gambling, and other such irrelevant contents.
    • (6) None of the employees can attempt to send or open any emails that can have the company suffer a disadvantage, such as insalutary emails or emails about slandering others, to the outside.
    • (7) The illegal use of any software is prohibited and all kinds of software necessary for fulfilling duties shall be original and a standardized authentic product provided by the company.

    8. Mutual respect between employees

    • (1) All employees shall observe good manners necessary for work life.
    • (2) All employees shall restrain themselves from attempting any insolent acts or slandering other employees.
    • (3) All employees shall restrain themselves from forming a clique or attempting any discriminative acts according to academic background, gender, religion, blood ties, region of birth, age, disability, marital status, nationality, race, and such.
    • (4) All employees shall restrain themselves from attempting to make an unfair request between them.
    • (5) All employees shall restrain themselves from distressing superiors, colleagues, or subordinates and such distressing acts can be defined as below.
      • act: Swearing, slandering, negative bias, threatening or hostile words, etc.
      • act: Fierce staring, giving inappropriate gifts, etc.
      • act: Personality-insulting or offensive pictures, images, gestures, and such
    • On condition that constructive criticisms, supervisions, sayings, and doings related to the fulfillment of duties are excluded.

    9. Maintenance of a pleasant environment

    • (1) All employees shall maintain a clean environment to create the optimal working environment that can maximize the productivity.
    • (2) All employees shall prevent the occurrence of defects in advance through 5S activity; Organization, Arrangement, Cleaning, Cleanliness, and Habituation.
    • (3) All employees shall continue to make a difference between normality and abnormality visible and clear to anyone for a prompt improvement.

    Chapter 5 Responsibilities for employees

    POWERLOGICS shall respect all employees as human beings and shall treat them fairly according to their competence and achievement and shall make effort to allow all employees to display their creativity enough.

    1. Respect for employees

    • (1) POWERLOGICS shall treat every single employee as an independent person based upon sincere trust in and affection for human.
    • (2) POWERLOGICS shall do its best to allow all employees to feel proud and worthwhile through their duties on the basis of the ownership mind.
    • (3) POWERLOGICS shall seek for necessary measures, through the establishment of a system, education, and guidance, for employees to fulfill their duties by righteous means.

    2. Development of talent

    • (1) POWERLOGICS shall be equipped with and activate systems necessary for developing all employees into autonomous and creative talent and provide aggressive support for such.
    • (2) All superiors shall give their staffs as many advices and instructions as they can, considering staffs' aptitude and talent, with a will to develop them into challenging and strong talent.

    3. Fair treatment

    • (1) POWERLOGICS shall give employees an equal opportunity according to their competence and talent.
    • (2) POWERLOGICS shall evaluate employees' competence and achievements in accordance with a fair standard and shall give them an appropriate reward.
    • (3) POWERLOGICS shall offer all employees an equal opportunity to improve their abilities and shall not make a difference according to academic background, gender, religion, region of birth, age, disability, marital status, nationality, race, and such.

    4. Promotion of creativity

    • (1) POWERLOGICS shall create an environment that can encourage employees' creative thinking and autonomous action as much as possible.
    • (2) POWERLOGICS shall develop talent from a long-term point of view through aggressive support for the development of employees' abilities.
    • (3) POWERLOGICS shall respect employees' private life and shall realize a mature corporate culture on the basis of mutual trust and understanding.

    5. Window into executives

    • (1) All employees can suggest or deliver their opinions to the executives freely and shall not be disadvantaged from doing so.
    • (2) Employees can deliver their opinions to the executives via email, visit, telephone, and other such means.
    • (3) Feedback is to be given on received opinions and opinions that are considered to be reasonable shall be improved or reflected in management activities.

    6. Creation of a safe working environment

    • (1) POWERLOGICS shall fulfill every duty related to safety in order for employees to work in a safe, hygienic, and productive working environment.
    • (2) POWERLOGICS shall provide all employees with regular safety education and training and shall perform an inspection on facilities.

    Chapter 6 Responsibilities for the nation and society

    POWERLOGICS shall protect stockholders' interests and shall contribute to people's abundant life and social development by developing itself into a robust, sound company through reasonable business development.

    1. Reasonable business development

    • (1) POWERLOGICS shall respect social values of both Korea and overseas while carrying out business.
    • (2) POWERLOGICS shall look after business expansion on the basis of the stable growth.
    • (3) POWERLOGICS shall not attempt an act that can harm the nation's economy or can give a sense of incongruity to national ethos through speculations in real estates and such.
    • (4) POWERLOGICS shall reject irrationality that can impede sound corporate activities.

    2. Protection of stockholders' interests

    • (1) POWERLOGICS shall realize sound interests through effective management in order to provide stockholders with an economical reward.
    • (2) POWERLOGICS shall respect stockholders' right to know, lawful demands, suggestions, and official decisions and shall secure a transparent management system for constructing a mutual confidential relationship with stockholders and shall maintain a precise accounting record system in accordance with a generally recognized accounting standard.
    • (3) POWERLOGICS shall preserve, protect, and increase stockholders' assets and shall protect their profits sincerely.

    3. Contribution to social development

    • (1) POWERLOGICS shall contribute to national development through the creation of job opportunities and sincere report and payment of tax and shall fulfill every responsibility and obligation as a corporate citizen that is praised for developing business related to education, culture, welfare, and society.
    • (2) POWERLOGICS shall give anyone an equal job opportunity without discrimination against academic background, gender, religion, region of birth, age, disability, marital status, nationality, and race.

    4. Preservation of environment

    • (1) POWERLOGICS shall do its utmost to protect nature and preserve clean environment and shall observe every law on environmental preservation.
    • (2) POWERLOGICS shall do its best to eliminate any wasteful consumption of resources.
    • (3) POWERLOGICS shall not develop any business activities that are against environmental preservation but shall do its utmost to prevent environmental pollution and contamination.
